Acceptance of Terms

These Terms of Use (“Terms”) form a binding agreement between Ngoc Le and you regarding your use of the VN Translator application and related services (collectively, the “Service”). By installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Description of the Service

The VN Translator App enables you to translate text that appears on your screen, or from other sources such as manual input, speech, clipboard. It may use on-device text recognition Apple’s Vision Framework, Google ML Kit Text Recognition and connect to translation services to return translated text. The app may display advertising (Google AdMob), collect usage analytics (Google Analytics for Firebase), and gather crash diagnostics (Firebase Crashlytics).

Important privacy promise: We do not collect or save your screenshots, screencasts, clipboard or other text content. Only the extracted text needed for translation is processed (see Privacy Policy for details).

Eligibility

You must be capable of forming a binding contract and comply with applicable laws. If you are under the age required by your local law to consent to data processing or to use apps (e.g., 13 or 16), you may use the Service only with valid parental/guardian consent.

User Responsibilities

You agree to: • Use the Service only for lawful purposes and in compliance with these Terms and applicable laws, including copyright and privacy laws. • Obtain authorization to translate any content and respect third-party rights (e.g., do not capture or translate protected or confidential content without permission). • Not reverse engineer, decompile, or otherwise attempt to access the Service’s source code except as permitted by law. • Not use the Service to build a competing product or to abuse, disrupt, or overload our infrastructure or third-party services.

Links to Other Websites

Our Service may contain links to third-party web sites or services that are not owned or controlled by the Ngoc Le.

Ngoc Le has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that the Ngoc Le shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party web sites or services that You visit.

In-App Purchases

Some features may be offered as paid upgrades, subscriptions, or one-time purchases via the Apple App Store. Pricing, billing cycle, trials, and cancellation are governed by the app store’s terms. All charges are final except as required by applicable law or store policy.

Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. We do not warrant that translation or recognition results will be accurate, complete, or suitable for any purpose.

Limitation of Liability

To the maximum extent permitted by Relevant Laws, Ngoc Le will not be liable to you or any third party for:

• Any Claims or Losses (including Consequential Loss); or
• Loss of, or damage to, any property or any personal injury, illness or death to you, any third person, arising out of, relating or connected to, the provision or use of the VN Translator App and Services (including Content, User Content and/or Third Party Products and Services generated or made available through the VN Translator App or the Services) and this agreement, regardless of the cause of action on which they are based, even if advised of the possibility of such damage occurring.
• All risk in using the VN Translator App and the Services passes to you upon creating a User Profile, or otherwise using the VN Translator App and the Services (whichever is earlier). Ngoc Le assume no responsibility and Ngoc Le have no liability to you or anyone else for any use of, or reliance on, any Content, User Content and/or Third Party Products and Services obtained or generated from your access to, and use of, the VN Translator App and the Services.
• Subject to applicable law, Ngoc Le’s total liability to you or anyone else, whether arising from warranty, contract, statute, tort (including negligence) or otherwise, shall not exceed the lesser of the amount you paid to VN Translator under this agreement in the one month immediately preceding the date on which the claim giving rise to such liability arose, or $100 USD.
• You agree to defend, indemnify and hold the Service, our Affiliates and our Personnel (collectively, the Indemnified) harmless from and against any and all Claims or Losses, that may be brought against the Indemnified or which the Indemnified may pay, sustain or incur as a direct or indirect result of or arising out of:
• Your access to, and use of, or reliance on the VN Translator App or the Services (including the Content, User Content and Third Party Products and Services);
• Any breach of our or any third party’s Intellectual Property Rights or other rights caused by you; or
• Any breach by you of this agreement.

Some jurisdictions do not allow certain limitations—if so, those limitations apply to the fullest extent permitted.

Indemnification

You will defend, indemnify, and hold harmless us and our affiliates, officers, employees, and agents from any claims, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.

Termination

During the Subscription Term you may terminate this agreement at any time by going to the Apple ID ‘Subscriptions’ page in the ‘Settings’ application on your mobile device, selecting the VN Translator App and then selecting the ‘Cancel Subscription’ function.

If you delete the VN Translator App from your mobile device without first cancelling your subscription, you will continue to be charged the Subscription Fees for the VN Translator App and Services.

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

Upon termination, Your right to use the Service will cease immediately.

Changes to the Service

We may modify or discontinue the Service (in whole or in part) at any time without liability. We may also update these Terms; material changes will be provided with reasonable notice as required by law. Your continued use after changes become effective constitutes acceptance.

Export & Sanctions

You represent that you are not located in, under the control of, or a national/resident of any country or region subject to U.S. or other applicable sanctions, and you are not on any restricted party list. You agree to comply with all export control laws.

Governing Law

The laws of the Country, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

For EU users

If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which You are resident.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting Ngoc Le.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Definitions

For the purposes of these Terms and Conditions:

• Application means the software program provided by the Company downloaded by You on any electronic device, named VN Translator
• Application Store means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) in which the Application has been downloaded.
• Affiliate means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.
• Country refers to: California, United States
• Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to VN Translator.
• Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.
• Service refers to the Application.
• Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.
• You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
